Non-Executive Chair
Shaun Hardcastle
Shaun Hardcastle is a lawyer specialising in corporate, commercial and securities law. He was formerly at Perth-based law firm Bellanhouse Lawyers, which became part of HWL Ebsworth in November 2019. In February 2022, he left to join Hamilton Locke as a foundation partner following its establishment of an office in Perth.
He has extensive experience on a broad range of cross-border and domestic transactions including joint ventures, corporate restructuring, project finance, resources and asset/equity sales and acquisitions.
Mr Hardcastle has worked in Perth, Melbourne and the Cayman Islands for Freehills, INPEX and Carey Olsen.
Mr Hardcastle is currently Non-Executive Chair of Sun Silver Limited (ASX: SS1) and a Non-Executive Director of RareX Limited (ASX: REE).
The Board considers that Mr Hardcastle will be an independent director.
Non-Executive Director
Alex Rovira
Alex Rovira has over 15 years’ experience in resources and investments, holding a Bachelor of Science (Geology) and Bachelor of Commerce (Corporate Finance) from the University of Western Australia. He spent 9 years as an investment banker at Canaccord Genuity, advising and raising capital.
Mr Rovira is currently Managing Director of Brightstar Resources Limited (ASX: BTR), where he leads Brightstar’s organic and inorganic growth strategy.
The Board considers that Mr Rovira will be an independent director.
Non-Executive Director
Nader El Sayed
Nader El Sayed has extensive risk management, corporate governance, strategic and financial experience.
Mr El Sayed is the Managing Director of Multiplant Holdings, a mining and civil services business based in Western Australia. He has also served as a director of several ASX listed mining and exploration companies. Mr El Sayed was previously with KPMG, providing assurance, capital markets and advisory services to Australian and international resource companies.
He holds a Bachelor of Commerce (Banking & Finance), Masters (Accounting) and has completed the Australian Institute of Chartered Accountants program.
Mr El Sayed is currently Non-Executive Chairman of Delta Lithium Limited (ASX: DLI).
The Board considers that Mr El Sayed will be an independent director.
Management
Gwardar’s exploration and development activities are led by an experienced team of experts.
Principal Geologist
Karl Jupp
Karl Jupp has over 25 years’ technical, executive and corporate experience in the Australian and international mineral resources sector. His background spans corporate roles, including as Managing Director of an ASX-listed exploration company, leadership of mining operations and feasibility studies, and technical roles in exploration strategy and execution.
Mr Jupp is also skilled in JORC Mineral Resource delineation and growth, Ore Reserve conversion, JORC Competent Person and ASX reporting, technical due diligence, transaction execution, investor-facing technical communications, and has acted as an Independent Expert at ICSID proceedings.
Company Secretary
Benjamin Donovan
Mr Donovan is the principal director of Argus Corporate Partners Pty Ltd, which provides company secretary, finance, IPO and governance advice. He is a member of the Governance Institute of Australia and is currently company secretary of several ASX listed and public unlisted companies and has gained experience across resources, agritech, biotech, media and technology industries. He is a director and company secretary of Magnetic Resources NL being acquired by Genesis Minerals Limited for $640m.
He has extensive experience in listing rules compliance and corporate governance, having served as a Senior Adviser at the ASX in Perth for nearly three years, where he managed the listing of nearly 100 companies on the ASX.
In addition, Ben has experience in the capital markets having raised capital and assisted numerous companies on achieving an initial listing on the ASX, as well as for a period of time, as a private client adviser at a boutique stock broking group.
